We reserve the right to substitute items of equivalent or similar value and quality where necessary, especially for mixed boxes, seasonal selections, and supply-dependent orders.
Descriptions, images, weights, counts, grades, and packaging details are provided for indicative purposes only unless expressly confirmed in writing by GreenHarvest Produce Ltd. Minor variations in size, appearance, ripeness, packaging, and yield may occur due to the natural characteristics of produce.
3. User Obligations and Responsibilities
You agree to use our services lawfully and in compliance with all applicable regulations, standards, and industry practices. In particular, you agree that:
- All information you provide to GreenHarvest Produce Ltd is accurate, complete, and kept up to date;
- You have authority to place orders and enter into binding agreements on behalf of yourself or your organisation;
- You will inspect products promptly upon delivery and notify us of any issues within a reasonable time;
- You will store, handle, refrigerate, display, and prepare produce in accordance with good food hygiene and safety practices;
- You will not resell, redistribute, or misrepresent products in a manner that breaches applicable laws or regulations;

- You will ensure any order-specific labels, ingredients, or handling instructions provided by you are accurate and lawful.
You are responsible for ensuring that any produce supplied by GreenHarvest Produce Ltd is suitable for your intended use, including food service, retail sale, storage duration, and any specific dietary or labelling requirements.
4. Payment Terms and Conditions
Prices are quoted in pounds sterling (GBP) unless otherwise stated and may be exclusive of VAT or other applicable taxes, which will be added where required by law. Prices may vary depending on seasonality, product availability, market conditions, delivery location, and order volume.
Unless otherwise agreed in writing:
- Payment is due in accordance with the invoice terms stated on the relevant invoice or order confirmation;
- We may require advance payment, deposits, or pre-authorisation for certain orders, especially bespoke, high-volume, or perishable orders;
- Late payments may result in suspension of services, delayed deliveries, account restrictions, or refusal of future orders;
- We may charge interest and/or reasonable administrative and debt recovery costs on overdue sums to the extent permitted by applicable law;
- You are responsible for all bank fees, transfer charges, card fees, or currency conversion costs charged by your payment provider.
Any disputes regarding invoices must be raised in writing promptly and must not affect your obligation to pay undisputed amounts by the due date.
5. Cancellation and Refund Policy
Because our products are fresh, perishable, and often procured or prepared to order, cancellation and refund rights are limited.
- Orders may only be cancelled in accordance with the notice period specified in the order confirmation or, if none is specified, within a reasonable time before picking, packing, or dispatch has commenced;
- Custom mixed boxes, pack and label services, and specially sourced produce may be non-cancellable once processing has begun;
- Refunds or replacements will generally only be considered where products are confirmed by GreenHarvest Produce Ltd, in our reasonable opinion, to be damaged, defective, materially non-conforming, or incorrectly supplied at the point of delivery;
- You must notify us of any issues promptly and provide reasonable evidence, including photographs, batch details, delivery records, and product condition;
- Any approved refund may be limited to the price paid for the affected product(s) and will not normally include consequential losses, labour costs, or disposal costs.
Nothing in these Terms affects any rights you may have that cannot lawfully be excluded or limited.
6. Liability Limitations
To the fullest extent permitted by applicable law, GreenHarvest Produce Ltd shall not be liable for any indirect, incidental, special, punitive, or consequential losses, including loss of profit, loss of business, loss of goodwill, loss of contracts, loss of opportunity, or loss arising from third-party claims.
Our total aggregate liability arising out of or in connection with any order, service, or claim shall be limited, to the extent permitted by law, to the amount paid by you for the specific product or service giving rise to the claim.
We do not exclude or limit liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded.
You acknowledge that fresh produce is inherently perishable and that quality can be affected by transport, storage, handling, temperature control, and time elapsed after delivery. GreenHarvest Produce Ltd is not responsible for deterioration caused by improper storage or handling after delivery.
7. Intellectual Property Rights
All intellectual property rights in and to our website, branding, product photographs, packaging designs, labels, documentation, templates, pricing materials, and other content supplied by GreenHarvest Produce Ltd remain the property of GreenHarvest Produce Ltd or its licensors, unless expressly agreed otherwise in writing.
You are granted a limited, non-exclusive, non-transferable licence to use our materials solely for the purpose of receiving, storing, reselling, or using our products in accordance with these Terms and any applicable order terms.
You must not reproduce, copy, adapt, distribute, sell, reverse engineer, or exploit any of our intellectual property without our prior written consent, except where permitted by law.
8. Data Protection and Privacy
GreenHarvest Produce Ltd may collect and process personal data such as names, contact details, delivery addresses, billing information, order history, and communication records in connection with the provision of our services.

Where a force majeure event occurs, we may suspend, reschedule, limit, or cancel affected services without liability, provided that we use reasonable efforts to mitigate the impact where practicable.

13. Severability Clause
